Highlights:
- Advising the Ohlthaver & List Group of Companies, the largest private Namibian-owned entity, and in particular its subsidiary, Wernhil Park (Pty) Ltd, in respect of putting in place a security SPV-indemnity structure developed to take and hold and release security in multi lender transactions
- Involved in several financing transactions including funding advanced to mining operations and a transportation concern by commodity dealer Louis Dreyfus
- Acting as local counsel for a lender in relation to a secured equipment facility, advising on Namibian security-laws and related security agreements and registering a general notarial bond in respect of the transaction, which facility was made available to B2 Gold Namibia for the financing of the purchase of a fleet of mining equipment for its Otjikoto Gold Mine in Namibia
- Advising Dundee Precious Metals Inc of Canada and its Namibian subsidiary, Namibia Custom Smelters, in the acquisition of an existing copper smelting plant in Tsumeb/Namibia, advising in respect of facility- and security agreements and registering various mortgage bonds over land and leases and general notarial bonds
- Advising Ohlthaver & List Finance and Trading Ltd on drafting security documents relating to a promissory note facility agreement
- Conducting a legal due diligence on the desalination plant of Areva Resources Namibia (the first and currently only one in Namibia near Wlotzkasbaken in the Erongo Region of Namibia) and advised re project financing and registration of leases, servitudes and securities pertaining to the pipeline, pump station and desalination plan
