  • Advising, as local counsel, CGNPC Uranium Resources Co., Ltd. and its subsidiary Swakop Uranium (Pty) Ltd in respect of the Husab Uranium Project re the debt and equity financing thereof
  • Acting as local counsel for QKR Corporation Limited in the acquisition of the total share capital in AngloGold Ashanti Namibia (Proprietary) Limited, which owns the Navachab Gold Mine
  • Acting for subsidiaries of Enel Green Power SpA, in a tender for the development of three 10MW solar photovoltaic (PV) power plants on a built-own-operate basis
  • Acting for two independent power producers participating in the interim REFIT Programme for the installation of single solar photovoltaic (PV) power plants of up to 5MW and the development of the project in designing, building and operating a power plant and provide the financing in respect thereof
  • Advised the Development Bank of Namibia Limited in respect of the provision of a loan facility to the Government of Namibia, acting through the National Energy Fund, under the auspices of the Ministry of Finance in relation to the construction of a fuel storage facility and related infrastructure in Walvis Bay, Namibia, by the Government of Namibia
  • Represented Oryx Properties Limited in connection with the establishment of a NAD500,000,000 medium term note programme to allow Oryx to issue debt securities in Namibia
  • Advised the International Finance Corporation (IFC) in connection with the establishment of a medium term note programme under the IFC’s umbrella Pan-African Domestic Medium Term Note Programme to allow IFC to issue debt securities in Namibia
  • Acted as local counsel for a lender in relation to a secured equipment facility and related intercreditor issues in respect of the transaction, which facility was made available to B2 Gold Namibia for the financing of the purchase of a fleet of mining equipment for its Otjikoto Gold Mine in Namibia
  • Represented Areva as local counsel in respect of its acquisition, via its subsidiary company of the fully diluted share capital of Uramin Inc., having mining interests of uranium located mainly in Namibia
  • Acted as local counsel for the African Development Bank, DEG (Deutsche Investitions- und Entwicklungsgesellschaft MBH), Société de Promotion Et De Participation Pour La Coopération Economique (Proparco), the International Finance Corporation (IFC) and ABSA Bank Limited on a loan and financing arrangement to Trustco Finance to support its student lending programme in Namibia
  • Acted for the issuer and the guarantors in connection with the establishment by the issuer of the Trustco Group Holdings Limited ZAR1,000,000,000 Medium Term Note Programme to be listed on the Interest Rate Market of the JSE Limited pursuant to which the Issuer may from time to time issue notes, involving the Standard Bank of South Africa Limited, acting through its Corporate and Investment Banking division as the debt sponsor.
  • Acting as local counsel in respect of the competition commission filing in the transaction in terms of which Glencore International plc, via its subsidiaries, acquired control in Rosh Pinah Zinc Corporation formerly controlled by Exxaro Resources Limited, and operating a Zinc mine in Southern Namibia, and advising Glencore on operational matters
  • Acting as local counsel advising Abengoa S.A. on the tender for the Mile 6 SWRO NamWater Sea Water Desalination Project in Namibia, also advising the potential lenders Nippon Export and Investment Insurance, Sumitomo Mitsui Banking Corporation, Mizuho Corporate Bank, Ltd., Development Bank of Southern Africa, Nedbank Capital who would have provided financing to Abengoa Water S.L.U in connection with the project
  • Advising Dundee Precious Metals Inc of Canada as local counsel in the acquisition of an existing copper smelting plant in Tsumeb/Namibia, including merger notification filing
  • Acting for Dundee Precious Metals Inc. as local counsel concerning a long-term committed revolving credit facility of US$150 million with BNP Paribas, Canadian Imperial Bank of Commerce, European Bank for Reconstruction and Development, Raiffeisen Bank International AG, Royal Bank of Canada, and Unicredit Bank AG. The purpose of the Revolving Facility is to fund DPM’s strategic initiatives, including the upgrades being made in respect of the Namibian subsidiary Dundee Precious Metals Tsumeb (Pty) Ltd
  • Conducting due diligence reviews and prepared tenement reports and legal opinions for purposes of acquisitions, right’s offers and listings, in respect of a number of mining concerns in Namibia, including Areva’s Trekkopje Uranium project, Swakop Uranium (Pty) Ltd’s Husab Uranium Project, Green Mineral Resources Pty Ltd’s Hoasib Uranium Project, Deep Yellow Ltd’s Reptile Uranium project, Bannerman Resources Ltd’s Etango Uranium Project, Rössing Uranium Ltd, Discovery Resources Limited, International Base Metals Limited, Bannon Limited and Shaw River Manganese Ltd
  • Conducted a due diligence on a desalination plant (Wlotzkasbaken) for Areva Resources Namibia re project financing
  • Represented Wal-Mart Stores Inc. in an urgent application to the High Court of Namibia for declaratory order concerning conditions imposed by the Namibian Competition Commission, the subsequent appeal to the Supreme Court of Namibia, and the Review Application to the Minister of Trade & Industry reviewing the merger approval of the Namibian Competition Commission
