  • Advised primarily private equity firms, including RMB Corvest, RMB Ventures and Stockdale Investments on a number of private equity transactions in various industries
  • Advised Aurum Mining PLC on the reverse takeover in respect of which Herero Chat Investments Sixteen (Pty) Ltd would be acquired by Aurum Mining PLC from EISEB Exploration and Mining Limited, a privately owned company incorporated in British Columbia so as to obtain an interest in the prospecting licences held by Eiseb Prospecting and Mining (Pty) Ltd
  • Advised Hanglong Mining, a subsidiary of Chinese conglomerate Sichuan Hanglong Group, on the proposed acquisition of 100% of Bannerman Resources Limited by way of a scheme of arrangement
  • Advised Sahara Investments (Pty) Ltd in connection with the proposed purchase of shares by Sahara Investments (Pty) Ltd in the capital of Vermeydu Investments (Pty) Ltd, one of the largest civil and construction engineering companies in Namibia
  • Review of the Leselo Examination Body of the IOB’s Memorandum of Association and Articles of Association on behalf of the Institute of Bankers in South Africa (IOB)
  • Provision of corporate governance services to Omukunda Development Network (a section 21 company)
  • Advised Denel (Pty) Ltd in the process of restructuring its Aviation, Dynamics and Mechem divisions, which process inter alia entailed the ring-fencing of Denel Aviation, Denel Dynamics and Denel Mechem into an operating subsidiary companies of Denel
  • Advised Transnet Limited in the process of separating its Transtel DEVI and Transtel SS divisions
  • Advised Transnet Limited on the disposal of its Transtel DEVI division to a Second Network Operator known as Neotel
  • Advised Transnet Limited (through its division Transtel) on the sale of its optical fibre cables
  • Assisted Transnet Limited (through its division Transtel Telecoms) in negotiating the voice, fax to e-mail, conferencing and other services provided by Transtel Telecoms to South African Airways (Pty) Ltd (SAA)
  • Advised the Public Investment Corporation on the options available to it in respect of the employee benefits to be provided under the Pan African Infrastructure Development Fund Structure
  • Advised the Pan African Infrastructure Development Fund in relation to the registration of Cycad Fund Manager (Pty) Ltd as a financial services provider with the Financial Services Board in the manner contemplated by the Financial Advisory and Intermediary Services Act
  • Assisted Transnet Limited (through its division Transtel Telecoms) in drafting and reviewing numerous telecommunications services, lease, and maintenance related agreements
  • Assisted Easigas South Africa (Pty) Ltd in negotiating the appointment of a carrier to transport certain products and bulk materials by road
  • Assisted the City of Johannesburg Metropolitan Municipality (COJ) in reviewing certain of its service delivery agreements
  • Assisted Harith Fund Managers (Pty) Ltd in establishing its Corporate Governance Manual
  • Assisted the South Africa Workforce Housing Fund (SA GP) (Proprietary) Limited (represented by its fund manager, International Housing Solutions) in negotiating, drafting and reviewing numerous agreements related to investments in land and buildings
  • Advised the Development Bank of Southern Africa on the funding it provided to Ayavuna Women Investments (Pty) Ltd for purposes of implementing a strategic partnership in the Barloworld BEE Transaction.
  • Advised Transnet Limited on the disposal of the Carlton Centre to a successful bidder
  • Advised BahariCom Limited on establishing a business presence in South Africa in order to construct own, operate and maintain a planned broadband submarine place optic cable network (“undersea cable”) which will circumscribe the entire African continent and link it with Europe, Middle East and India, and be a wholesaler of bandwidth to resellers.
  • Advised the Department of Public Transport, Roads and Works (DPTRW) on the review of the Expanded Public Works Programme Trust Deed
  • Advised the Mopani District Municipality on the establishment of a Municipal Entity as a mechanism to simplify the current water service provider arrangement into one provider and to further place service delivery in formally in the hands of local government
  • Advised the Pan African Infrastructure Development Fund (represented by its fund manager, Harith Fund Managers (Pty) Ltd) on its investment Essar Telecoms Kenya Limited (ETKL), a company licensed by the Communications Commission of Kenya to operate a GSM License, by acquiring an equity interest in Essar Telecoms Kenya Holdings Limited (ETKHL), which company in turn has 90% beneficial interest in ETKL, the licensed company.
  • Advised Transnet Freight Rail (a business unit of Transnet Limited) (TFR) on restructuring its capital program by facilitating the acquisition by the private sector certain of TFR’s existing operational assets i.e. wagons, locomotives, loading/offloading facilities and intermodal terminals or enabling the private sector to provide the Assets for their private use on TFR’s rail network (the Private Sector Initiative)
